Terms of Service

The terms governing use of the Metronet, LLC website. Service engagements are governed by separate written agreements.

These Terms of Service (“Terms”) govern your access to and use of the Metronet, LLC website at www.metronetsys.net (the “Site”). By accessing or using the Site, you agree to be bound by these Terms. If you do not agree, please do not use the Site.

1. About Metronet

Metronet, LLC ("Metronet," "we," "our," or "us") is a New Jersey limited liability company providing warehouse and logistics IT infrastructure, network engineering, procurement, staging, deployment, monitoring and managed support services.

2. Use of the Site

You may use the Site for lawful informational and inquiry purposes. You agree not to:

  • Use the Site in violation of any applicable law or regulation;
  • Attempt to gain unauthorized access to the Site, its servers, or related systems;
  • Interfere with or disrupt the operation of the Site or any user’s use of it;
  • Submit content that is unlawful, infringing, abusive, defamatory, or misleading;
  • Use automated means (other than legitimate search engine crawlers) to scrape, harvest, or replicate Site content; or
  • Attempt to use the Site to distribute malware, spam, or unsolicited advertising.

3. No professional engagement created

Information presented on the Site is provided for general informational purposes only and does not create a professional services engagement, advisory relationship, or contractual obligation between Metronet and any visitor. Service engagements are formed only through a separate written agreement (such as a statement of work or service order) signed by an authorized representative of Metronet.

4. Inquiries and form submissions

Submitting a contact, assessment, or procurement form does not obligate Metronet to provide services, accept any matter, or respond by any particular timeframe. Information you submit is handled in accordance with our Privacy Policy.

5. Intellectual property

All content on the Site — including text, graphics, logos, images and software — is owned by Metronet or its licensors and is protected by United States and international intellectual property laws. You may view, print, and download Site content for your own internal, non-commercial reference. Any other use, including reproduction, modification, distribution, public display, or commercial use, requires our prior written consent.

Vendor names, product names and logos referenced on the Site are the property of their respective owners and are used only to indicate authorized reseller, partner, or compatibility relationships.

6. Third-party links

The Site may contain links to websites operated by third parties. Metronet does not control those sites and is not responsible for their content, privacy practices, or availability. Your use of third-party websites is at your own risk and subject to the terms of those sites.

7. Disclaimer of warranties

THE SITE AND ITS CONTENTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. METRONET DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. METRONET DOES NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

8. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL METRONET, ITS MEMBERS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR USE, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SITE — EVEN IF METRONET HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

9. Indemnification

You agree to defend, indemnify and hold harmless Metronet and its members, officers, employees and agents from any claim, demand, loss, or damage (including reasonable attorneys’ fees) arising out of your use of the Site or your violation of these Terms.

10. Governing law and venue

These Terms are governed by the laws of the State of New Jersey, without regard to its conflict-of-laws principles. The exclusive venue for any dispute arising out of or relating to these Terms or the Site shall be the state and federal courts located in Warren County, New Jersey, and you consent to the jurisdiction of those courts.

11. Changes to these Terms

We may update these Terms from time to time. The “Effective date” at the top of the page indicates when they were last revised. Material changes will be reflected on this page; continued use of the Site after an update constitutes acceptance of the updated Terms.
